END USER LICENSE AGREEMENT (EULA)

Effective Date

This End User License Agreement (“Agreement”) is effective as of March 27, 2026.

1. Acceptance of Terms

By installing, accessing, or using SBG AI Layer Pro (the “Software”), you agree to be bound by the terms of this Agreement.

If you do not agree to these terms, you must not install or use the Software.

2. License Grant

Solutions By BG, Inc. (“Company”) grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software subject to the following conditions:

  1. The Software may only be used on the number of website domains permitted by your purchased license.
  2. Each license is bound to a specific domain or set of domains.
  3. Use is strictly limited to your internal business or client use within the scope of the license purchased.
  4. No ownership rights are transferred. The Software is licensed, not sold.

3. License Restrictions

You agree that you will NOT:

  1. Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying logic of the Software or its associated services.
  2. Attempt to replicate, extract, or recreate any proprietary AI processing, enrichment logic, or artifact generation methods.
  3. Modify, bypass, disable, or interfere with licensing, authentication, or usage controls.
  4. Use the Software beyond the number of licensed domains.
  5. Resell, redistribute, lease, sublicense, or otherwise transfer the Software to third parties.
  6. Use the Software in any way that violates applicable laws or regulations.

4. License Key and Activation

  1. A valid license key is required for full functionality of the Software.
  2. The license key is bound to a domain and may be validated periodically.
  3. The Company reserves the right to suspend or revoke licenses for violations of this Agreement.
  4. If a license becomes invalid, expired, or revoked, the Software may:
    • Disable certain features
    • Degrade to limited functionality
    • Cease communication with remote services

5. Remote Service Dependency

The Software relies on external AI services operated by the Company.

  1. Core functionality requires communication with remote APIs.
  2. The Company does not guarantee:
    • Continuous availability
    • Uninterrupted access
    • Error-free operation
  3. The remote services may:
    • Change over time
    • Be updated, modified, or discontinued
    • Introduce new features or remove existing ones

You acknowledge that the Software may not function fully without access to these services.

6. Data Processing and Handling

  1. The Software transmits website content and related data to the Company’s remote AI services for processing.
  2. This processing is required to generate structured outputs such as:
    • Topics
    • Knowledge graphs
    • Semantic content structures
    • Optimization signals
  3. The Company does not guarantee permanent storage of submitted data.
  4. You are responsible for ensuring that your use of the Software complies with applicable data protection laws.
  5. The Company is not responsible for misuse of data outside the intended processing scope of the Software.

7. Updates and Modifications

  1. The Software may receive updates automatically or manually.
  2. Updates may include:
    • Feature changes
    • Performance improvements
    • Security fixes
  3. The Company reserves the right to:
    • Modify or remove features
    • Change how the Software operates
  4. Backward compatibility is not guaranteed indefinitely.

8. Termination

This Agreement may be terminated:

  1. By the Company if you violate any terms of this Agreement
  2. Automatically if your license expires or is revoked

Upon termination:

  • Your license rights immediately cease
  • Access to Pro features may stop without notice
  • Continued use of the Software is prohibited

9. Intellectual Property

The Software and all associated technologies, including:

  • AI processing systems
  • Artifact generation methods
  • Data models
  • Licensing systems

are proprietary intellectual property of Solutions By BG, Inc.

All rights not expressly granted are reserved.

10. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

The Company expressly disclaims all warranties, including but not limited to:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement

The Company does NOT guarantee:

  • Improved search rankings
  • SEO performance
  • AI discoverability outcomes
  • Compatibility with all WordPress themes or plugins

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall NOT be liable for:

  1. Loss of revenue or profits
  2. SEO or ranking changes
  3. Loss of data
  4. Business interruption
  5. Indirect, incidental, or consequential damages

Total liability under this Agreement shall not exceed the amount paid for the license.

12. Indemnification

You agree to indemnify, defend, and hold harmless Solutions By BG, Inc. from any claims, damages, or liabilities arising from:

  • Your use of the Software
  • Your violation of this Agreement
  • Your misuse of data or systems

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

14. Changes to This Agreement

The Company reserves the right to update or modify this Agreement at any time.

Continued use of the Software after changes constitutes acceptance of the revised terms.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and Solutions By BG, Inc. regarding the Software and supersedes all prior agreements.
